1. Purpose and scope

These Terms of Use and Sale (hereinafter the "Terms") govern access to and use of the Ask N Pic service, available at app.asknpic.com, as well as the showcase site asknpic.com (hereinafter collectively "the Service").

The Service is published by Audrey Redondo, trading under the business name My Codeuse, a sole proprietorship registered with the Paris Trade and Companies Register under SIRET number 879 571 255 00055, whose registered office is at 78 Avenue des Champs-Γ‰lysΓ©es, Bureau 326, 75008 Paris, France (hereinafter "the Publisher").

Any use of the Service (including joining the waitlist, creating an account or accessing the beta phase), constitutes full and unreserved acceptance of these Terms. If you do not accept these terms, you must immediately cease all use of the Service.

These Terms apply both to users who are natural persons acting in a personal capacity and to users acting on behalf of a legal entity (hereinafter "the User"). Certain consumer-protection provisions apply only to users acting outside any professional activity; such provisions are explicitly indicated.

2. Service overview

Ask N Pic is a SaaS (Software as a Service) tool for generating customizable professional parametric files from a natural-language brief. The Service notably includes:

  • An AI-assisted parametric file generation engine;
  • A real-time in-browser customization interface (editing texts, colours, images and brand palette);
  • Export features in PNG, JPEG and/or native parametric formats depending on the plan;
  • A saved-template management area depending on the plan;
  • Advanced customization features (brand logo, global colour palette) reserved for the Pro and Agency plans.

The Publisher uses an open-source artificial intelligence model self-hosted on its European infrastructure. Briefs and generated files never pass to third-party artificial intelligence services (OpenAI, Anthropic, Google or equivalents).

The Service is currently offered in a beta phase. The Publisher reserves the right to modify, suspend or discontinue all or part of the features at any time, in particular for maintenance or evolution operations.

3. Access to the Service and user accounts

3.1 Account creation

Access to the Service's features requires the creation of a user account. The User undertakes to provide accurate, complete and up-to-date information at registration, and to keep it up to date throughout the duration of use of the Service.

Registration requires a valid email address and a phone number in international format (E.164), used solely for anti-spam verification by OTP code (single-use, valid for 10 minutes). The generation quota is activated only after confirmation of the email and the phone number.

The User may also register via an OAuth identity provider (Google, GitHub, LinkedIn, Facebook). In that case, the same accuracy obligations apply to the information transmitted by the provider.

Any registration under a false identity, with erroneous information or by impersonating a third party, is strictly prohibited and may lead to immediate account termination as well as legal proceedings.

3.2 Account security

The User is solely responsible for the confidentiality of their login credentials. They undertake to notify the Publisher immediately of any unauthorised use of their account at contact@asknpic.com. The Publisher cannot be held liable for damage resulting from unauthorised access to a User's account caused by the latter's negligence.

For security reasons, access tokens have a limited lifetime. The User accepts the automatic session renewal mechanism put in place by the Publisher.

3.3 Eligibility conditions

The Service is reserved for natural persons of legal age (18 or over) or legal entities with the legal capacity to contract. By accessing the Service, the User declares that they meet these conditions. The Publisher reserves the right to request proof of age or legal capacity at any time.

3.4 Multi-user accounts (Tenants)

Some plans allow several users to be associated with a single workspace (hereinafter "Tenant"). Within a Tenant, the first registered User is designated "owner" and holds management rights (member invitations, billing management). Added members share the organisation's daily quota and are subject to these same Terms. The owner is responsible for compliance with the Terms by all members of their Tenant.

The number of permitted members depends on the plan subscribed to by the Tenant. In the event of a move to a lower plan (voluntary change, payment default, or end of a promotional access), the access of members exceeding the new plan's limit is suspended: the accounts concerned are kept but made inaccessible, and reactivated if the Tenant returns to a plan that allows them. No data is deleted merely as a result of this suspension.

4. Beta phase β€” specific conditions

⚠️ The provisions of this article prevail over any other provision of these Terms for the duration of the beta phase.

4.1 Nature and gratuity of beta access

Access to the Service during the beta phase is granted entirely free of charge. No subscription is taken out, no payment is required. Beta testers access features that will be partially or fully paid at the official commercial launch.

Beta access is granted on an experimental basis and is revocable at any time, without compensation or notice. The beta Service is provided "as is", without any warranty of availability, performance, data retention or absence of bugs.

The Publisher reserves the right to limit the number of beta testers, to modify the features available during the beta phase, or to discontinue the beta phase at any time.

4.2 Quota during the beta phase

During the beta phase, testers benefit from a generation quota defined by the Publisher, which may evolve during the testing phase. This quota is communicated in the Service interface and may be modified without notice during the beta phase.

4.3 Beta tester commitments

By accepting beta access, the User undertakes to:

  • Use the Service actively and in good faith;
  • Report any malfunction, bug or abnormal behaviour to contact@asknpic.com;
  • Share their feedback (suggestions, use cases) when requested by the Publisher;
  • Not publicly disclose the following information, explicitly designated as confidential by the Publisher: identified security vulnerabilities, data belonging to other Users, features placed under explicit embargo. The tester remains free to share their general experience of the Service, to publish screenshots and to speak publicly about the Service without restriction;
  • Not use beta access for direct commercial purposes (large-scale resale of generated files, integration into a third-party service).

4.3 bis Beta tester rewards

In return for active participation, the Publisher may grant testers free months of subscription, up to a maximum of three consecutive months, on the plan actually tested. The reward level depends on the tester's involvement (number of test cases covered, quality of feedback, qualitative exchanges) and the possible discovery of priority anomalies.

The assessment of involvement and the allocation of rewards are at the Publisher's discretion, on a case-by-case basis. Rewards are not cumulative beyond the highest tier reached, are limited in time, tied to the plan tested, and conditional on account verification (email and phone). They constitute neither an acquired right nor an obligation of the Publisher.

Free months are granted in the form of a subscription whose first months are free. At the end of this period, billing at the rate in force applies automatically, unless cancelled. In the absence of payment, the account is downgraded to the Free plan under the conditions of Article 6.1. An unused reward code expires 30 days after it is granted.

4.3 ter Evolving test scope

The scope of test cases may be enriched at any time during the beta phase. The tester has no obligation to test the added cases; testing them opens up additional rewards. A relevant case or anomaly identified by a tester may, after validation by the Publisher, be integrated into the scope and give rise to an enhanced reward for its author. Relevance and integration are at the Publisher's discretion.

4.4 Data retention during the beta phase

The Publisher does not guarantee the retention of accounts, briefs, generated files or templates created during the beta phase when moving to production. The User is invited to export and save locally any file they wish to keep. The Publisher will nevertheless make its best efforts to ensure data continuity.

Data collected during the beta phase (briefs, parametric files) benefits from the same security and confidentiality safeguards as data collected in production, in accordance with the Privacy Policy.

4.5 Move to production

At the end of the beta phase, the Publisher will notify testers by email with a minimum 30 days' notice before commercial terms apply. This notice period will allow each tester to:

  • Decide to subscribe to a paid plan to continue using the Service;
  • Or close their account at no cost or penalty, with deletion of their data under the conditions set out in Article 12.

Continued use of the Service after the date on which commercial terms apply constitutes acceptance of the Free plan (free with limited quotas) or of the subscribed plan.

5. Plans, quotas and credits

5.1 Available plans

Outside the beta phase, the Service is offered under the following plans:

Subscriptions are offered on a monthly basis with no minimum commitment. No annual subscription is offered at this stage.

The full breakdown of features by plan is available on the pricing page of asknpic.com. These prices are stated excluding tax. The applicable VAT is added at the time of payment according to the legislation in force in the User's country. These prices are indicative and subject to change before the commercial launch.

5.1 bis Demonstration accounts

The Publisher may grant, in particular to prospects of the Pro and Agency plans, a temporary, free demonstration access giving access to the features of the relevant plan for a limited time. On expiry, in the absence of a subscription, the account is downgraded to the Free plan; data exceeding the Free plan's limits is kept but made inaccessible, and reactivated in the event of a subsequent subscription. Demonstration access creates no right to a subscription or to the maintenance of features.

5.2 How the daily quota works

The daily quota is measured in AI processing units consumed by each generation. This quota is shared between all members of the same Tenant (workspace). It is reset every day at midnight UTC. The remaining quota is displayed in real time in the Service interface as a gauge and an approximate number of generations left.

AI processing units correspond to the tokens consumed when processing each brief. The interface converts them into an approximate number of generations for ease of reading.

The complexity of a generated file is limited by the subscribed plan. Two mechanisms apply:

  • Brief too complex before processing: a brief whose estimated complexity exceeds the plan's limit is refused before any call to the AI engine, with no quota consumed, with an explicit error message. The generation button is disabled until the brief is modified.
  • Generated file richer than expected: if the AI engine produces a file whose richness exceeds the plan's limit, the file is delivered to the User as-is. One quota unit is consumed in accordance with the debit rule of Article 5.4.

The Publisher reserves the right to modify quota levels without notice for the Free plan, and with 15 days' notice for paid plans. Any substantial downward change to paid-plan quotas opens the right to terminate at no cost within the notice period, with no compensation due on either side, the termination taking effect at the end of the current month.

5.3 Additional credit packs

In addition to the daily quota, the User may purchase additional credit packs (one-off purchase, no subscription) via the Service's billing page:

Additional credits are consumed after the daily quota is exhausted. Their use is subject to explicit confirmation in the interface before any charge. The User is informed of the number of credits that will be consumed before confirming. Additional credits have no expiry date. They are not available on the Agency plan (contractual management). Pack prices may change; credits already acquired are not revalued.

These prices are stated excluding tax. The applicable VAT is added at the time of payment according to the legislation in force in the User's country. These prices are indicative and subject to change before the commercial launch.

5.4 Non-refundability of credits and quota debit rules

Additional credits acquired are non-refundable once purchased, except where a contrary legal obligation applies to consumers (see Article 6.3).

Single debit rule: one quota unit is consumed if and only if a file is delivered to the User. The following cases consume no quota unit:

  • Brief refused before processing (estimated complexity exceeding the plan's limit);
  • Generation failure after multiple attempts, file technically unrecoverable;
  • AI engine unavailability or timeout.

One quota unit is consumed in the following cases:

  • Compliant parametric file delivered;
  • Algorithmically corrected parametric file delivered (see Article 8.4);
  • Parametric file richer than the plan's limit delivered (see Article 5.2).

6. Billing, payment and withdrawal

6.1 Payment terms

Payments are processed entirely by Stripe, Inc., a PCI DSS-certified payment provider. The Publisher neither collects, stores nor processes any banking data (card number, CVV, IBAN). Only a Stripe customer identifier is retained for managing subscriptions and purchases.

Paid subscriptions are billed monthly in advance, with no minimum commitment, on the anniversary date of the subscription. No annual subscription is offered at this stage. In the event of a payment failure, Stripe makes several automatic attempts. In the event of persistent failure over a recovery period of about fifteen days, access to the paid plan is suspended and the account is downgraded to the Free plan until the situation is resolved, with the excess data kept in an inaccessible state (see Article 6.1 bis).

Additional credit packs are billed as a one-off payment at the time of purchase.

6.1 bis Consequences of moving to a lower plan

When moving to a lower plan (voluntary change, payment default, or end of a promotional or demonstration access), data exceeding the new plan's limits (history, saved templates, members) is not deleted but kept in an inaccessible state. It is automatically reactivated, within the plan's limit, in the event of a return to a higher plan. This data remains subject to account deletion and to the deletion of inactive accounts provided for in the Privacy Policy.

6.2 Billing and VAT

The prices displayed are exclusive of tax (excl. VAT) for professionals and inclusive of all taxes (incl. VAT) for consumers, in accordance with the applicable regulations. For professional clients subject to VAT in the European Union, the reverse-charge mechanism applies where relevant. An invoice is issued automatically by Stripe after each payment and accessible from the Service's billing area.

6.3 Right of withdrawal (consumers)

In accordance with Articles L.221-18 et seq. of the French Consumer Code, Users acting as consumers (natural persons not acting in the context of a professional activity) have a 14-day right of withdrawal from the subscription to a paid plan or the purchase of a credit pack.

However, in accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal does not apply to digital content whose performance has begun with the consumer's express consent and express waiver of their right of withdrawal. By subscribing or purchasing a credit pack, the User expressly acknowledges that performance began immediately and waives their right of withdrawal for the part already consumed.

Professional (B2B) users do not benefit from the right of withdrawal.

6.4 Termination of a paid subscription

The User may terminate their paid subscription at any time from the Service's billing area. Termination takes effect at the expiry of the current subscription period (no pro-rata refund). The account is then downgraded to the Free plan on the expiry date.

In the event of termination by the Publisher for fault (breach of the Terms, fraud), no refund is due for the current period.

7. Intellectual property

7.1 Publisher's ownership

The Service, its source code, architecture, interfaces, generation systems, trademarks, logos, graphics, texts and any content produced by the Publisher are protected by copyright, trademark law and intellectual property. Any reproduction, representation, adaptation, distribution or commercial exploitation, in whole or in part, without the Publisher's prior written authorisation is strictly prohibited.

The Service's implementation secrets (technical architecture, generation algorithms, internal technical protocols and conventions, trained AI models) constitute confidential information of the Publisher and may not be subject to any reverse engineering, decompilation or disclosure.

7.2 Ownership of generated files

The parametric files generated via the Service from the User's briefs belong to the User, subject to compliance with these Terms, the rights of third parties and applicable laws. The Publisher claims no ownership right over the User's creations.

To the extent that the Publisher might hold rights over the generated files (in particular as producer of the generation system), it assigns them to the User free of charge, on a non-exclusive and worldwide basis, for the entire legal term of protection, from the moment the file is generated.

The User is solely responsible for the commercial or public use they make of the generated files. The Publisher does not guarantee the originality, the absence of similarity with third-party works, or the absence of infringement of third-party intellectual property rights in the files generated by the AI engine.

7.3 Service improvement licence

The User grants the Publisher a non-exclusive, free licence, revocable on request (right to object ; see Privacy Policy), allowing the use of anonymised (brief, generated file) pairs for the sole purpose of improving the Service's AI model. This licence is strictly limited to this internal use and includes no right of public reproduction, distribution or direct commercial exploitation of the User's creations.

The User may object to this use from their personal account area (Training dataset opt-out) or by email to contact@asknpic.com. This objection does not affect access to the Service.

7.4 Content submitted by the User

The User is solely responsible for the briefs, texts, images and content they submit to the Service. They warrant that they hold the necessary rights to this content, that it does not infringe the rights of third parties, the applicable regulations (copyright, third parties' personal data, image rights) or these Terms. The Publisher cannot be held liable for the content of briefs submitted by Users.

8. Artificial intelligence β€” transparency, limits and algorithmic processing

8.1 Nature of the AI system

Ask N Pic uses an open-source artificial intelligence model self-hosted on European infrastructure. The User is informed that they are interacting with an automated AI creative generation system. The system makes no automated decision producing a legal or similar effect on individuals. As such, it is currently classified as a limited-risk system within the meaning of the AI Act (EU) 2024/1689, subject to the transparency obligations of Art. 50. The Publisher undertakes to reassess this classification at each significant evolution of the Service that may change its risk level.

Each generated file is associated with a prompt system version identifier and a model version, allowing full traceability of outputs in accordance with the AI Act's auditability requirements. This information is accessible in the generation metadata from the personal account area. When a file has been algorithmically corrected before delivery, or when a brief was translated before processing, the User is informed in the interface (see Article 8.4).

8.2 Limits and absence of warranty on outputs

The files generated by the AI engine are algorithmic creations. The Publisher does not guarantee:

  • The originality of the generated files or their absence of similarity with existing works;
  • The accuracy, relevance or suitability of the generated files for a particular use;
  • The absence of errors, visual artefacts or unexpected behaviour;
  • That the generated files do not unintentionally infringe third-party intellectual property rights. In particular, the User ensures that the briefs submitted do not aim to reproduce registered trademarks, protected logos or visual-identity elements belonging to third parties.

The User is solely responsible for the verification, validation and final use of the generated files.

8.3 Prohibited content in briefs

It is strictly prohibited to submit briefs aimed at generating illegal, offensive, discriminatory or pornographic content, content that undermines human dignity, the rights of minors, third-party intellectual property rights, or that incites hatred or violence. The Publisher reserves the right to immediately suspend any account whose briefs or generated files violate these prohibitions.

8.4 Algorithmic processing of generated files and brief translation

Algorithmic correction

When the AI engine produces a file that does not meet the Service's security and compliance requirements after several generation attempts, the Service may automatically apply algorithmic corrections to the last file produced before delivery. These corrections may include the removal of elements presenting a security risk, the simplification of editable elements exceeding the plan's limit, or the normalisation of presentation properties.

When an algorithmically corrected file is delivered to the User, they are informed by a visible message in the Service interface. The delivered file may be less rich or less faithful to the brief than the expected result. By subscribing to the Service, the User accepts receiving an algorithmically corrected file in place of an original file when such correction is necessary for the secure operation of the Service.

One quota unit is consumed when a corrected file is delivered, in accordance with Article 5.4.

Automatic brief translation

In order to guarantee generation quality for all Users, the Service may automatically translate a brief written in a language other than French or English before submitting it to the generation engine. This translation is performed by the same self-hosted AI model and never passes to third-party services. The User is not notified of this translation in the interface (it is transparent).

The original brief submitted by the User is retained as-is. The translation is retained separately in encrypted form and included in the data export upon request (Art. 20 GDPR), in accordance with the Privacy Policy.

9. Prohibited behaviour

It is strictly prohibited to use the Service to:

  • Carry out any illegal or fraudulent activity, or one that infringes the rights of third parties;
  • Attempt to circumvent security measures, quotas or access restrictions by any means whatsoever, in particular by creating multiple accounts;
  • Carry out reverse engineering, decompilation, disassembly or extraction of the Service's AI models;
  • Use robots, scripts or any automated means to access the Service, generate mass requests or extract data (scraping);
  • Carry out load tests, denial-of-service (DDoS) attacks or any action likely to disrupt the Service or the infrastructure that supports it;
  • Resell, sub-license or commercially exploit access to the Service without the Publisher's prior written authorisation;
  • Impersonate the Publisher, its teams or other Users;
  • Introduce viruses, Trojans, malware or any malicious code;
  • Share their login credentials with third parties or allow unauthorised third parties to access the Service via their account.

Any breach may result in the immediate termination of the account, reporting to the competent authorities and the initiation of legal proceedings. The Publisher reserves the right to claim damages in the event of harm suffered.

10. Liability and warranties

10.1 Limitation of the Publisher's liability

The Service is provided "as is", without warranty of any kind, express or implied, including without warranty of continuous availability, absence of interruption, absence of data loss or fitness for a particular purpose.

To the extent permitted by applicable law, the Publisher's total liability under these Terms may not exceed the sums actually paid by the User during the three (3) months preceding the event that caused the damage, or €50 for Free plan Users.

The Publisher may under no circumstances be held liable for indirect, consequential, special or punitive damages, in particular loss of data, profits, revenue or business opportunities, even if it has been informed of the possibility of such damages.

These limitations do not apply in the event of damage caused by the Publisher's intentional fault or gross negligence, nor to mandatory legal obligations (statutory warranties applicable to consumers).

10.2 Service availability

The Publisher undertakes to implement reasonable measures to ensure the availability of the Service, without guaranteeing a contractual level (SLA) during the beta phase. Outside the beta phase, the Publisher strives to maintain 99% availability on a monthly basis for paid plans, excluding scheduled maintenance announced with 24 hours' notice.

10.2 bis Support and assistance

The level of support varies according to the subscribed plan (channel and handling priority). The response times associated with each plan are indicative objectives and not firm contractual commitments. The Publisher strives to meet them as far as reasonably possible, without any obligation of result. Any user, whatever their plan, may report a problem via the contact means provided in the Service.

10.3 User's liability

The User is solely responsible for the use they make of the Service, the briefs they submit, the files they generate and the use they make of them. They indemnify the Publisher against any action, claim, judgment or cost (including reasonable legal fees) arising from their use of the Service in breach of these Terms or applicable laws.

10.4 Force majeure

The Publisher cannot be held liable for failures to fulfil its obligations resulting from a force majeure event within the meaning of Article 1218 of the French Civil Code, in particular: third-party infrastructure failure (host, network operator, payment provider), cyberattack, major security incident, natural disaster, decision of an administrative or judicial authority, or any unforeseeable, irresistible event beyond the Publisher's control.

11. Personal data

The processing of Users' personal data is governed by Ask N Pic's Privacy Policy, which forms an integral part of these Terms and prevails in the event of contradiction with the provisions of this article.

Ask N Pic undertakes to process personal data in compliance with the General Data Protection Regulation (GDPR; EU 2016/679) and applicable French legislation. Data is hosted in Europe (Infomaniak, Switzerland), outside the jurisdiction of the US Cloud Act. Briefs and generated files are encrypted at rest.

The User has rights of access, rectification, erasure, restriction, portability and objection over their data, as well as a specific right to object to the use of their data for improving the AI model. These rights are exercised at contact@asknpic.com.

12. Suspension and termination

12.1 Termination by the User

The User may delete their account at any time from their personal account area or by contacting contact@asknpic.com. Termination entails:

  • The immediate cryptographic erasure and physical deletion of the encrypted content (briefs and parametric files);
  • The deletion of the training dataset entries linked to the account, within a maximum of 30 days (the time needed for the offline fine-tuning pipeline's cleanup cycle);
  • The retention of non-personal metadata (date, plan, technical scores) for 30 days for internal audit, then their permanent deletion;
  • The retention of billing data for 10 years in accordance with legal accounting obligations.
  • A downgrade to a lower plan results in the freezing of excess data (graphic designs and templates beyond the new plan's limits): they are kept and fully restored if the Tenant returns to a higher plan, or permanently deleted after 12 months of account inactivity;

For monthly subscriptions with no commitment, termination takes effect at the end of the current month. No pro-rata refund is made for the current month, except where a contrary legal provision applicable to consumers applies or where termination follows a substantial unfavourable change to the Terms.

12.2 Suspension or termination by the Publisher

The Publisher reserves the right to suspend or terminate any account, with or without notice depending on the seriousness of the facts, in the event of:

  • Breach of these Terms;
  • Fraudulent or abusive use, or use harmful to the Service, its infrastructure or other Users;
  • Persistent non-payment of sums due;
  • Detected or suspected illegal activity;
  • Request from the competent judicial or administrative authorities.

In the event of termination for serious cause, the Publisher reserves the right to retain the data necessary to establish proof of the breach for the applicable limitation period.

12.3 Discontinuation of the Service

In the event of permanent discontinuation of the Service, the Publisher undertakes to notify Users with a minimum of 60 days' notice by email and to refund on a pro-rata basis any current paid subscriptions for the unused period.

13. Changes to the Terms

The Publisher reserves the right to modify these Terms at any time to adapt them to changes in the Service, legislation or business practices.

Changes will be notified to Users by email with 15 days' notice for minor changes, and 30 days' notice for substantial changes (price changes, removal of features, changes to Users' rights).

Continued use of the Service after the expiry of the notice period constitutes acceptance of the new Terms. In the event of refusal, the User may terminate their account at no cost within the notice period. For monthly subscriptions with no commitment, no pro-rata refund is due. Termination takes effect at the end of the current month, at no cost or penalty.

The version of the Terms in force is the one accessible at asknpic.com/en/terms/ with its update date. The history of previous versions is available on request at contact@asknpic.com.

15. Governing law and jurisdiction

These Terms are governed by French law. In the event of a dispute relating to their interpretation or performance, the parties undertake to seek an amicable solution before any legal action, within 30 days of notification of the dispute by one of the parties.

Failing an amicable agreement, any dispute between the Publisher and a professional User will be submitted to the exclusive jurisdiction of the courts within the jurisdiction of Paris, notwithstanding multiple defendants or third-party proceedings.

For Users acting as consumers, the competent jurisdiction is that of the consumer's domicile at the time the contract was concluded or the harmful event occurred, in accordance with Article R.631-3 of the French Consumer Code.

For consumer Users residing in the European Union, the European Commission provides an online dispute resolution platform accessible at: ec.europa.eu/consumers/odr. The Publisher is not required to participate in a mediation procedure but may consent to it on a case-by-case basis.

The nullity of one clause of these Terms does not entail the nullity of the entire document. The parties undertake to replace any void clause with a valid clause having an equivalent economic effect.
